1. Agreement to Terms

Arcos is a software product operated by Abate Consultants LLC (“Company,” “we,” “us,” or “our”). Arcos is a software platform that transforms user input into structured schedules, priorities, and workflow automation.

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Abate Consultants LLC, governing your access to and use of the Arcos platform and related services (the “Service”) available at www.usearcos.com.

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service.

2. Service Description

Arcos is a software platform that provides:

  • Structured scheduling and calendar management with a deterministic auto-scheduling engine
  • Natural language task creation and command processing
  • Project organization and categorization
  • Productivity insights and a Progress score based on planning adherence
  • Two-way calendar synchronization with Google Calendar and Microsoft Outlook
  • An AI-powered assistant for workflow automation
  • Pro plan for adaptive scheduling and workflow learning (paid feature)

We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice.

3. User Responsibilities

  • You must be at least 13 years of age to use the Service.
  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • If you are between 13 and 18 years of age, your parent or legal guardian must agree to these Terms on your behalf.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any portion of the Service or its infrastructure
  • Interfere with or disrupt the performance of the Service
  • Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent
  • Transmit malware, viruses, or other harmful code
  • Impersonate any person or entity
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service
  • Use the Service to harass, abuse, or harm others

5. AI Limitations Disclaimer

Arcos uses third-party AI services, including OpenAI and Anthropic, to process user inputs and generate structured outputs such as task schedules, suggestions, and planning recommendations.

You acknowledge and agree that:

  • AI-generated outputs may not always be accurate, complete, or appropriate for your situation
  • You remain fully responsible for any decisions made based on the Service’s output
  • Arcos is a planning and scheduling system, not a decision-maker or advisor
  • AI features are provided as tools to support your workflow, not as substitutes for professional judgment
  • The quality and availability of AI features may vary and are subject to third-party service availability

6. Service Availability

We strive to maintain high availability of the Service, but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Technical issues or infrastructure disruptions
  • Third-party service outages (including AI providers and calendar services)
  • Events beyond our reasonable control

We are not liable for any loss or inconvenience caused by Service downtime.

7. Payments

Arcos offers a free tier and a paid tier (Pro). If you subscribe to a paid plan:

  • You agree to pay the applicable subscription fees as displayed at the time of purchase
  • Subscriptions renew automatically unless cancelled before the renewal date
  • Refunds are handled on a case-by-case basis at our discretion
  • We reserve the right to change pricing with reasonable notice

8. Intellectual Property

All content, features, functionality, design, text, graphics, logos, and software comprising the Service are owned by Abate Consultants LLC and are protected by United States and international intellectual property laws.

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you.

9. Third-Party Integrations

The Service allows you to connect with third-party services, including Google Calendar and Microsoft Outlook. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

You may revoke third-party access at any time through the Settings page.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABATE CONSULTANTS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • AI-generated scheduling recommendations or suggestions
  • Errors or inaccuracies in scheduling, task management, or productivity metrics
  • Third-party service outages or data issues
  • Any other matter relating to the Service

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Nothing in these Terms shall exclude or limit liability for fraud or any liability that cannot be excluded under applicable law.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination will remain in effect

You may terminate your account at any time from the Settings page or by contacting us.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Service after modifications constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New Jersey. You consent to the personal jurisdiction of such courts.

Before initiating legal action, you agree to first attempt to resolve any dispute informally by contacting us. If not resolved within 30 days, either party may proceed with formal legal action.

14. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
