1. Acceptance of Terms

Welcome to Arcos. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Arcos (“we,” “us,” or “our”), governing your access to and use of the website located at www.usearcos.com and related services (collectively, the “Service”).

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration & Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
  • Passwords must be at least 8 characters long. We store passwords using industry-standard cryptographic hashing and never in plaintext.

4. Description of Service

Arcos is a productivity application that provides:

  • Task scheduling and calendar management with deterministic scheduling algorithms
  • Project organization and categorization
  • Productivity insights and performance analytics
  • Optional integration with third-party calendar services (such as Google Calendar)
  • A privacy-first architecture where task titles and descriptions are stored locally on your device by default

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

5. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems or networks connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
  • Transmit any malware, viruses, or other harmful code through the Service
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service

6. Intellectual Property

All content, features, functionality, design, text, graphics, logos, and software comprising the Service are owned by Arcos and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You retain ownership of all data you input into the Service (including task data, project names, and settings). By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you.

7. Third-Party Integrations

The Service may allow you to connect with third-party services, including Google Calendar. Your use of such third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

When you connect your Google Calendar, you authorize us to access your calendar data as described in our Privacy Policy. You may revoke this access at any time through the Settings page within the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and safeguard your information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy of scheduling recommendations or productivity insights generated by the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING NEW JERSEY LAW, IN NO EVENT SHALL ARCOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • Any third-party conduct or content on or accessed through the Service
  • Errors or inaccuracies in scheduling, task management, or productivity recommendations
  • Any other matter relating to the Service

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable New Jersey or federal law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Arcos and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit through the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination (including Sections 6, 9, 10, 11, and 14) will remain in effect

You may terminate your account at any time by contacting us or by deleting your account through the Settings page.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of New Jersey. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

In accordance with the New Jersey Alternative Procedure for Dispute Resolution Act (N.J.S.A. 2A:23A-1 et seq.), before initiating any legal action, you agree to first attempt to resolve any dispute informally by contacting us at the address provided below. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Arcos regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
